Business Formation in New Jersey: What Founders Need to Know

How you structure your business is one of the first decisions you’ll make, and it has lasting consequences for liability, taxation, and governance. New Jersey recognizes several entity types, each with different formation requirements and ongoing obligations.

Entity Options & State Filing Requirements

Sole proprietorships and general partnerships don’t require formation filings with the state, but they still require registration using Form NJ-REG with the New Jersey Division of Revenue and Enterprise Services. LLCs, corporations, limited partnerships, and limited liability partnerships must file formation paperwork with that same agency. For an LLC, that means filing a Certificate of Formation; corporations file a Certificate of Incorporation. After formation, most entities must complete the NJ-REG tax and employer registration process and obtain an Employer Identification Number from the IRS.

New Jersey LLCs and other registered entities must also file an annual report each year to maintain good standing. Missing this filing can result in administrative dissolution.

Choosing Between a Sole Proprietorship, LLC, & Corporation

Most founders weigh the LLC heavily because it combines personal liability protection with flexible internal governance. An LLC can be owned by one member or many, and New Jersey doesn’t require an operating agreement to form one. That said, having a written operating agreement is important: it establishes how the business will be managed, how profits are distributed, and what happens if a member exits. Without one, disputes among members default to New Jersey’s statutory rules, which may not reflect what the owners actually intended.

One New Jersey-specific note: licensed professionals such as attorneys, accountants, and physicians can’t organize as professional limited liability companies (PLLCs) under state law, though they may form a standard LLC or a professional corporation depending on their licensing requirements.

Registered Agents, Business Registration Certificates, & Licenses

Every LLC and registered entity in New Jersey must maintain a registered agent with a physical in-state address to accept legal process on the business’s behalf. This can be the owner, a member, or a third-party service. Businesses that contract with public agencies or have tax nexus in New Jersey must obtain a Business Registration Certificate from the Division of Revenue. Depending on your industry, additional licenses, certifications, or permits may be required before you can legally operate.

Hiring Employees in New Jersey

Once a business brings on employees, new compliance obligations attach. New hires must be reported to the state’s New Hire Directory within a set window of the hire date. Businesses with employees beyond the owner and fellow LLC members are generally required to carry workers’ compensation insurance. New Jersey also has its own wage, leave, and benefit requirements that apply to most employers, and understanding those obligations from the start helps avoid disputes down the road.
